Legal Framework

Section I

Privacy Policy

Data Controller. NebularAxisWorks, located at Cortijo Lupus Shadow S/N, Romilla la Nueva, Chauchina, Granada, Spain, is the data controller responsible for the processing of personal data collected through this platform.

Legal Basis for Processing. NebularAxisWorks processes personal data under the following legal bases as defined in Article 6 of Regulation (EU) 2016/679 (General Data Protection Regulation): (a) consent of the data subject; (b) performance of a contract to which the data subject is party; (c) compliance with a legal obligation; and (d) legitimate interests pursued by the controller.

Categories of Personal Data Collected. NebularAxisWorks may collect and process the following categories of personal data: identification data (full name, email address, telephone number), professional data (company name, job title, industry), technical data (IP address, browser type, operating system, device identifiers), and usage data (pages visited, time spent, navigation patterns).

Purposes of Processing. Personal data is processed for the following purposes: (a) to respond to inquiries and provide requested services; (b) to perform contractual obligations related to web development, infrastructure, and consulting engagements; (c) to comply with applicable tax, accounting, and regulatory obligations under Spanish and EU law; (d) to improve platform performance and user experience through anonymized analytics; (e) to send service-related communications and, where consent has been given, marketing communications.

Data Retention. NebularAxisWorks retains personal data only for as long as necessary to fulfill the purposes for which it was collected. Contract-related data is retained for the duration of the contractual relationship plus six (6) years in compliance with Spanish commercial law. Inquiry data not resulting in a contractual relationship is retained for a maximum of twelve (12) months.

Data Transfers. NebularAxisWorks does not transfer personal data to countries outside the European Economic Area (EEA) without implementing appropriate safeguards as defined in Chapter V of the GDPR, including Standard Contractual Clauses (SCCs) approved by the European Commission.

Data Subject Rights. Under the GDPR, data subjects have the right to: (a) access their personal data (Article 15); (b) rectification of inaccurate data (Article 16); (c) erasure of data ("right to be forgotten") (Article 17); (d) restriction of processing (Article 18); (e) data portability (Article 20); (f) object to processing (Article 21); and (g) withdraw consent at any time without affecting the lawfulness of processing based on consent before withdrawal (Article 7(3)).

Exercising Rights. To exercise any of these rights, data subjects may contact NebularAxisWorks at [email protected] or by written request to Cortijo Lupus Shadow S/N, Romilla la Nueva, Chauchina, Granada, Spain. NebularAxisWorks will respond to all requests within thirty (30) days.

Supervisory Authority. Data subjects have the right to lodge a complaint with the Spanish Data Protection Agency (Agencia Española de Protección de Datos, AEPD) at https://www.aepd.es if they believe their data protection rights have been infringed.

Security Measures. NebularAxisWorks implements appropriate technical and organizational measures to ensure a level of security appropriate to the risk, including encryption of data in transit (TLS 1.3), access controls, regular security assessments, and staff training on data protection obligations.

Cookies Policy

Controller. NebularAxisWorks, Cortijo Lupus Shadow S/N, Romilla la Nueva, Chauchina, Granada, Spain, is responsible for the use of cookies and similar tracking technologies on this platform.

What Are Cookies. Cookies are small text files placed on your device by websites you visit. They are widely used to make websites work efficiently and to provide information to website owners. Similar technologies include web beacons, pixel tags, and local storage.

Essential Cookies. NebularAxisWorks uses strictly necessary cookies that are essential for the operation of this platform. These cookies enable core functionality such as security, session management, and accessibility. They cannot be disabled. Essential cookies used include: (a) session cookies for authentication state; (b) cookie consent persistence cookies to remember your cookie preferences.

Analytics Cookies. NebularAxisWorks may use anonymized analytics cookies to understand how visitors interact with the platform. These cookies collect aggregated, non-identifiable data including pages visited, time spent, and general geographic region. No personally identifiable information is collected through analytics cookies without explicit consent.

Third-Party Cookies. NebularAxisWorks does not deploy third-party advertising or tracking cookies. Embedded content from external services (e.g., Google Maps) may set their own cookies according to their respective privacy policies. NebularAxisWorks encourages data subjects to review the privacy policies of such third-party services.

Managing Cookies. Data subjects can manage cookie preferences through the cookie consent banner displayed upon first visit. Essential cookies cannot be disabled as they are required for platform functionality. Data subjects may also configure their browser to block or delete cookies. Please note that disabling cookies may affect platform functionality.

Consent. In accordance with Article 5(3) of Directive 2002/58/EC (ePrivacy Directive) as transposed into Spanish law, NebularAxisWorks obtains explicit consent before setting any non-essential cookies. Consent may be withdrawn at any time by clearing browser cookies or contacting NebularAxisWorks.

Section III

Reimbursement Terms

Applicability. These Reimbursement Terms apply to all service engagements contracted through NebularAxisWorks, located at Cortijo Lupus Shadow S/N, Romilla la Nueva, Chauchina, Granada, Spain. By engaging NebularAxisWorks services, the client acknowledges and accepts these terms.

Milestone-Based Payments. All service engagements are structured around defined milestones. Each milestone payment becomes non-refundable upon completion and client acceptance of the corresponding deliverable. Milestone acceptance is confirmed through written sign-off or continued use of delivered assets beyond five (5) business days without written objection.

Pre-Completion Cancellation. If a client cancels a service engagement before the completion of the first milestone, NebularAxisWorks will refund any payments made minus a cancellation fee of twenty percent (20%) of the total project value to cover administrative costs and resource allocation losses.

Incomplete Deliverables. If NebularAxisWorks fails to deliver a milestone within the agreed timeframe due to circumstances solely within its control, the client is entitled to a pro-rata refund for the undelivered portion of that milestone, calculated based on the percentage of work completed.

Force Majeure. NebularAxisWorks shall not be liable for reimbursement claims arising from delays or failures caused by force majeure events, including but not limited to: natural disasters, pandemics, government actions, cyberattacks, infrastructure failures outside the controller's network, or acts of third parties beyond reasonable control.

Dispute Resolution. Any reimbursement disputes shall first be addressed through good-faith negotiation between the parties. If resolution cannot be achieved within thirty (30) days, the dispute shall be submitted to the competent courts of Granada, Spain, in accordance with applicable Spanish consumer protection legislation.

Statutory Rights. Nothing in these Reimbursement Terms affects the statutory rights of consumers under EU Directive 2011/83/EU (Consumer Rights Directive) or its Spanish transposition. Consumers retain the right to a withdrawal period and remedies for non-conformity as provided by law.

Section IV

Service Agreement

Parties. This Service Agreement is entered into between NebularAxisWorks ("the Provider"), located at Cortijo Lupus Shadow S/N, Romilla la Nueva, Chauchina, Granada, Spain, and the client entity engaging NebularAxisWorks services ("the Client").

Scope of Services. NebularAxisWorks provides web development, infrastructure engineering, security implementation, and digital consulting services as described in individual project proposals and Statements of Work (SOWs). Each SOW constitutes an integral part of this Agreement.

Intellectual Property. Upon full payment of all applicable fees, all deliverables created specifically for the Client under a project SOW shall transfer to the Client, including source code, design assets, documentation, and configuration files. NebularAxisWorks retains ownership of pre-existing frameworks, libraries, tools, and methodologies used in the delivery of services.

Confidentiality. Both parties agree to maintain the confidentiality of proprietary information exchanged during the engagement. Confidential information shall not be disclosed to third parties without prior written consent and shall be returned or destroyed upon termination of the Agreement.

Warranties. NebularAxisWorks warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. All deliverables will conform to the specifications defined in the applicable SOW for a period of ninety (90) days following delivery.

Limitation of Liability. To the maximum extent permitted by applicable law, NebularAxisWorks total aggregate liability under any Agreement shall not exceed the total fees paid by the Client in the twelve (12) months preceding the claim. NebularAxisWorks shall not be liable for indirect, incidental, consequential, or punitive damages.

Termination. Either party may terminate this Agreement with thirty (30) days written notice. NebularAxisWorks may terminate immediately if the Client breaches material obligations, including payment terms. Upon termination, the Client shall pay for all services rendered up to the termination date.

Governing Law. This Agreement shall be governed by and construed in accordance with the laws of Spain and applicable European Union regulations. The parties submit to the exclusive jurisdiction of the courts of Granada, Spain.

Amendments. NebularAxisWorks reserves the right to update these terms with thirty (30) days prior written notice. Continued use of services following the effective date of amendments constitutes acceptance of the updated terms.
